Terms of Service

Welcome to Spotly. These Terms govern your use of our peer-to-peer parking marketplace. Please read them carefully.
1. Acceptance of Terms
By creating an account or using Spotly, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the app. Spotly may update these Terms at any time; continued use after updates constitutes acceptance.
2. Eligibility
You must be at least 18 years old, have a valid driver's license, hold valid auto insurance, and be legally able to enter contracts to use Spotly. Hosts must own or have explicit written permission to rent the parking spaces they list.
3. Nature of the Service
Spotly is a marketplace platform that connects drivers seeking parking with private hosts offering parking spaces. SPOTLY IS NOT A PARTY TO ANY AGREEMENT BETWEEN DRIVERS AND HOSTS. Hosts are independent operators, not employees, agents, or contractors of Spotly. Spotly does not own, operate, manage, or control the parking spaces listed.
4. Payment & Fees
Drivers pay the listed rate plus a service fee. Spotly retains a platform fee (currently 20% of the total) and pays hosts the remainder through Stripe Connect. Stripe handles all payment processing. By booking, you authorize Spotly and Stripe to charge your payment method for: (a) the booking amount, (b) overstay or damage charges as described in these Terms, and (c) applicable taxes.
5. Overstay and Damage Charges
If a driver overstays a booked time, the host may report the overstay through the app, and Spotly is authorized to charge the driver's payment method on file at a rate of 1.5x the listed hourly price for each additional hour. Drivers are responsible for any damage caused to the parking space or surrounding property and may be charged for repair costs. These charges are non-refundable absent clear evidence of error.
6. Refunds and Cancellations
Drivers may cancel a booking before its start time for a full refund. Cancellations after the start time are not refundable except in cases approved by Spotly support (e.g., spot inaccessible, host no-show). Spotly's decision on refund disputes is final.
7. Driver Responsibilities
Drivers agree to: (a) park only in the specific space booked, (b) vacate at or before the booking end time, (c) not block driveways, mailboxes, or neighboring properties, (d) maintain valid auto insurance, (e) follow any host-provided rules or codes, and (f) not use the space for illegal activity.
8. Host Responsibilities
Hosts agree to: (a) ensure they have the legal right to rent the listed space, (b) provide accurate descriptions and current photos, (c) ensure the space is reasonably accessible and as described, (d) comply with all local laws including HOA rules, zoning, and tax obligations, (e) not discriminate against drivers, and (f) report income earned for tax purposes (Spotly will issue 1099 forms where required).
9. Insurance
Spotly does NOT provide insurance for parked vehicles, host property, or any damages arising from use of the Service. Drivers are responsible for their own vehicle insurance. Hosts are responsible for their own property and liability insurance. Each party agrees that their own insurance is the primary coverage for any incident.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR: (a) ANY DAMAGE, THEFT, VANDALISM, OR LOSS OF VEHICLE OR ITS CONTENTS; (b) ANY INJURY OR PROPERTY DAMAGE OCCURRING ON OR AROUND A LISTED PARKING SPACE; (c) DISPUTES BETWEEN DRIVERS AND HOSTS; (d) INACCURATE LISTING INFORMATION; (e) UNAVAILABILITY OF A SPACE; OR (f) ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. SPOTLY'S TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID SPOTLY IN THE 30 DAYS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Spotly, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, (d) any damage or loss caused by you or your vehicle, or (e) any content you submit.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SPOTLY DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR AVAILABILITY OF ANY LISTING, THE QUALITY OF ANY PARKING SPACE, OR THE CONDUCT OF ANY USER. SPOTLY DOES NOT BACKGROUND-CHECK HOSTS OR DRIVERS BEYOND BASIC IDENTITY VERIFICATION THROUGH STRIPE.
13. Dispute Resolution and Arbitration
Any dispute arising from these Terms or your use of the Service will be resolved through binding individual arbitration under the rules of the American Arbitration Association, conducted in Pittsburgh, PA. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL. This clause does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.
14. Account Suspension and Termination
Spotly reserves the right to suspend or terminate any account at any time, with or without notice, for any reason including but not limited to: violation of these Terms, fraudulent behavior, repeated overstay or damage incidents, harassment, or misuse of the Service. Termination does not entitle you to a refund of unused balances except as required by law.
15. Independent Contractors
Hosts are independent operators, not employees, partners, or agents of Spotly. Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship. Spotly does not control how hosts operate their spaces.
16. Force Majeure
Spotly is not liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, acts of government, internet outages, payment processor failures, or pandemics.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws principles. Any non-arbitrable dispute will be brought in the state or federal courts located in Allegheny County, Pennsylvania.
